Mergers and acquisitions represent a significant part of our business practice. Our M&A team represents buyers and sellers, and management and investors, in all types and sizes of transactions, including:

Our team is experienced in structuring and negotiating these transactions, performing due diligence investigations, identifying and satisfying regulatory requirements and seeing the transaction through to completion. We represent a wide variety of clients in M&A transactions, including both public and private companies, as well as clients in highly regulated industries such as the financial institution and healthcare industries.

We help clients adopt and implement acquisition and anti-takeover strategies, and advise management in the strategic planning process and defending against takeover attempts, including the use of shareholder rights plans or poison pills.  We routinely advise boards of directors about their fiduciary duties in a variety of strategic and other transactions, including pursuing a public offering, M&A transactions, capital raises and going private transactions.  We have experience advising special committees of directors on their duties as a special committee in evaluating a variety of transactions and various ways to protect the interests of shareholders, including retaining and reviewing valuations from investment bankers and other alternative protections.

Our team also represents executives in M&A transactions and advises them on compensation and benefit issues in the context of those transactions, including golden parachute and deferred compensation concerns.
