Mark Blackwell is a member of the Firm's Labor & Employment Service Team. The primary focus of his practice resides in the field of executive compensation and employee benefit plan design, implementation and compliance.

Representative Matters

Mr. Blackwell represents ESOP's of both publicly-traded and non-publicly traded entities, and has extensive experience in assisting employers, fiduciaries and others in the design, implementation, fiduciary compliance and administration of ESOP's and ESOP financial transactions. He has successfully and expeditiously represented numerous employers, administrators, trustees and others before governmental agencies and proceedings of all types, whether seeking an advance ruling from the Internal Revenue Service or leading a client through the Employee Plans Compliance Resolution System (ECPRS), representing an employer or plan in the course of a DOL investigation, or defending legal or administrative actions brought by other claimants.

His practice includes substantial experience with the design, implementation and regulatory compliance of nonqualified deferred compensation plans, executive severance plans (including change of control provisions or separate agreements), equity-based option and related plans, and other executive compensation, benefit and perquisite plans, programs, arrangements and agreements.

Clients include a wide range of publicly-traded corporations, tax-exempt employers and governmental agencies, as well as closely-held businesses and business enterprises.

  • Prior to joining the Firm, Mr. Blackwell was Employee Benefits Counsel, and later Corporate Counsel, to BATUS Inc., the holding and management company for B.A.T. Industries' United States business interests (including Brown & Williamson Tobacco Corporation, Saks Fifth Avenue, Marshall Field & Co., Appleton Papers Inc. and Farmers Insurance Group).
